The following terms govern the use of HV Web Online services.
HV Web Online provides website services which may include website development, hosting, security, website management tools, optional modules, technical support, requested updates, requested enhancements, business email setup, domain-related services, and other digital services as defined in the client agreement, invoice, proposal, or service plan selected by the client.
Clients may be provided with tools that allow them to manage website content independently. Support, updates, modifications, enhancements, migrations, integrations, content entry, troubleshooting, and related work may be requested separately and may be billed unless otherwise stated in writing.
Services may utilize third-party hosting infrastructure, software platforms, registrars, SSL providers, email providers, payment processors, security providers, content delivery providers, and related infrastructure or service vendors.
All services must be paid in full before any work begins, unless HV Web Online expressly agrees otherwise in writing.
HV Web Online does not begin development, setup, configuration, optimization, enhancement work, email setup, migration work, or service provisioning until payment has been successfully received and confirmed.
Failure to complete payment will result in no work being performed and no services being activated.
Due to the nature of digital services, all payments are considered final once services have been provisioned, licenses have been issued, third-party purchases have been made, or work has begun.
All domain name registrations, transfers, renewals, redemption fees, privacy fees, registry fees, premium domain fees, and related domain services are non-refundable.
Once a domain is purchased, it is immediately registered, reserved, renewed, transferred, or otherwise processed through a third-party registrar or registry and cannot be canceled, reversed, or refunded by HV Web Online.
HV Web Online is not responsible for domain pricing changes, premium domain pricing, availability changes, registry restrictions, transfer restrictions, redemption fees, verification requirements, registrar or registry holds, suspension events, domain disputes, or domain status changes imposed by registrars, registries, ICANN-related requirements, or applicable law.
Clients acknowledge that domain purchases are final at the time of registration, renewal, transfer, or processing.
If HV Web Online registers, renews, manages, configures, or maintains a domain name on behalf of a client, those services are provided as a managed service arrangement unless otherwise agreed in writing.
A managed domain may be registered, renewed, administered, or technically maintained through accounts, registrar relationships, DNS systems, or service platforms controlled or managed by HV Web Online for administrative convenience, security, service continuity, DNS management, renewal coordination, and operational support.
Clients remain responsible for all applicable registration, renewal, transfer, redemption, privacy, DNS, verification, and related fees unless expressly included in a prepaid plan or written service agreement.
HV Web Online may decline, delay, suspend, or refuse domain renewals, DNS changes, ownership updates, release requests, transfer requests, or related domain actions if outstanding balances remain unpaid, verification requirements remain incomplete, registrar or registry restrictions apply, or the request would create legal, fraud, security, operational, or administrative risk.
HV Web Online is not responsible for domain loss, expiration, failed transfer, suspension, registry hold, redemption status, or interruption caused by missed payments, client inaction, inaccurate contact information, failed verification, registrar rules, registry rules, transfer lock periods, third-party provider actions, or circumstances outside reasonable control.
HV Web Online may provide business email setup and management services using third-party providers such as Microsoft 365 or other email platforms.
HV Web Online is not responsible for outages, disruptions, policy changes, licensing changes, suspension events, provider enforcement actions, mailbox delivery issues, spam filtering decisions, or platform limitations imposed by third-party email providers.
Clients are responsible for providing accurate website content, images, branding materials, domain information, DNS access when needed, required approvals, timely responses, and any other materials or information required for project completion or service delivery.
Clients are also responsible for managing and updating their own website content unless support or content management services are requested separately.
Clients must ensure that content they provide, upload, send, publish, approve, or instruct HV Web Online to use does not violate copyright laws, trademarks, privacy rights, publicity rights, platform rules, or other legal protections.
HV Web Online is not responsible for verifying the legality, licensing, ownership, accuracy, timeliness, or suitability of client-provided or client-managed content.
Clients may not use HV Web Online services to host, distribute, transmit, or publish illegal content, malware, pirated software, phishing pages, copyrighted materials without authorization, spam operations, fraudulent content, deceptive content, unauthorized surveillance tools, or any activity that violates applicable laws or threatens the security, availability, stability, or reputation of the hosting environment or any third-party provider.
HV Web Online reserves the right to suspend, remove, restrict, disable, or terminate services immediately if hosted content or account activity violates these policies or poses a risk to the platform, other clients, third-party providers, or the public.
Websites hosted on HV Web Online infrastructure must not consume excessive server resources in a manner that negatively impacts platform stability, service performance, service availability, or other hosted websites.
HV Web Online reserves the right to investigate and take action against websites that create excessive load, abusive traffic, automated abuse, storage abuse, or service disruption.
While HV Web Online implements security measures, monitoring, and protective controls designed to help secure hosted websites and services, no system can guarantee complete protection against cyber attacks, vulnerabilities, data loss, unauthorized access, data corruption, misconfiguration, service abuse, or service interruption.
Clients acknowledge that security is a shared responsibility and that HV Web Online cannot guarantee absolute protection from breaches, exploitation, downtime, service interruption, or external attacks.
Clients retain ownership of the website content they provide, including text, images, branding assets, and media, subject to the rights of any third-party licensors.
Website files developed specifically for the client may be provided upon request if services are terminated and all outstanding balances have been paid in full, subject to the exclusion of proprietary systems, third-party licensed components, and internal tools owned or licensed by HV Web Online.
All proprietary systems, software, workflows, CMS tools, design systems, automation logic, templates, deployment methods, server configurations, scripts, integrations, and other internal tools developed or owned by HV Web Online remain the intellectual property of HV Web Online unless otherwise agreed in writing.
Clients receive a limited, non-exclusive license to use services and systems provided as part of their service plan but do not acquire ownership of underlying proprietary systems, frameworks, internal tools, or service architecture.
Domains registered on behalf of a client are intended for the client’s use, subject to registrar rules, registry rules, payment status, service status, verification requirements, applicable law, and any managed domain arrangement then in effect.
Domain transfers, DNS changes, ownership changes, nameserver updates, registrar changes, or release requests may be delayed, denied, or conditioned upon full payment of all outstanding balances, expiration of applicable transfer restrictions, completion of verification requirements, and satisfaction of reasonable administrative and security requirements.
Hosting services may be provided through infrastructure, reseller systems, WHM/cPanel environments, cloud platforms, or third-party hosting arrangements selected by HV Web Online.
HV Web Online may provision, suspend, migrate, reconfigure, restrict, or terminate hosting services when reasonably necessary for billing enforcement, abuse prevention, security, maintenance, capacity management, provider compliance, platform stability, migration, or operational needs.
HV Web Online is not responsible for interruptions, data issues, mail issues, DNS propagation delays, provider outages, account limitations, or service changes caused by hosting providers, control panels, server software, network conditions, or third-party infrastructure.
SSL certificates provided as part of hosting services or as separate purchases may be issued through third-party providers and are subject to provider validation rules, issuance policies, renewal terms, verification requirements, and technical limitations.
SSL certificates are generally non-refundable once issued or processed and may not be transferable. HV Web Online is not responsible for issuance delays, failed validation, revocation events, browser trust issues, or certificate interruptions caused by third-party providers or validation failures.
HV Web Online may perform routine system backups as part of managed platform services. While reasonable efforts are made to maintain reliable backups, no backup system can guarantee full data recovery, complete retention, or error-free restoration in all circumstances.
Clients are encouraged to maintain independent copies of critical website data, email data, domain records, and business records.
HV Web Online provides technical support for covered platform services during normal business hours unless otherwise stated in writing. Response times may vary depending on the nature, severity, complexity, and volume of requests.
Additional support, content updates, feature changes, restorations, troubleshooting, consulting, migrations, emergency work, or modification requests may be subject to additional fees unless otherwise included in a written service agreement.
Emergency issues may be addressed outside normal hours when necessary; however, continuous 24/7 support, immediate response times, or uninterrupted availability are not guaranteed unless explicitly included in a written service agreement.
HV Web Online may perform platform-level maintenance, software updates, security patches, platform upgrades, migrations, and infrastructure changes to maintain service reliability, security, compatibility, and operational continuity.
These updates may require temporary service interruptions. Reasonable efforts will be made to minimize downtime whenever practical.
Website content changes, design revisions, feature additions, integrations, and other client-specific modifications are not included unless expressly stated and may be performed upon request for an additional fee.
HV Web Online reserves the right to modify, upgrade, replace, restrict, discontinue, or reprice services, features, infrastructure, included components, technology stacks, or service arrangements as technology, provider requirements, and business needs evolve.
Clients will be notified when changes materially affect active services, where practical.
Accounts that remain unpaid, inactive, abusive, non-responsive, or in violation of these terms may be suspended, restricted, or terminated.
HV Web Online reserves the right to permanently remove website files, backups, email data, logs, databases, and associated account data after 60 days following service suspension or termination, unless otherwise required by law or a written agreement.
Clients agree to contact HV Web Online directly to resolve any billing concerns prior to initiating a chargeback or payment dispute.
Unauthorized chargebacks or disputes may result in immediate suspension or termination of services, reversal of access, additional administrative or recovery fees, and permanent account restriction.
HV Web Online reserves the right to dispute all chargebacks with supporting documentation, communications, invoices, service records, provisioning records, and delivery records.
HV Web Online shall not be liable for damages, losses, interruptions, delays, data loss, lost profits, lost business opportunities, or failures resulting from third-party hosting providers, registrars, email providers, SSL providers, payment processors, software vulnerabilities, cyber attacks, plugin failures, domain outages, DNS issues, propagation delays, internet infrastructure issues, client actions, client inaction, or other circumstances beyond reasonable control.
Under no circumstances shall HV Web Online be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-business damages arising from the use of, inability to use, or interruption of services provided.
To the maximum extent permitted by law, any direct liability of HV Web Online arising out of services provided shall be limited to the amount actually paid by the client to HV Web Online for the specific service giving rise to the claim during the immediately preceding service period.
HV Web Online shall not be responsible for service interruptions, delays, or failures caused by events beyond reasonable control including natural disasters, power outages, cyber attacks, internet failures, labor disruptions, provider outages, government actions, civil unrest, or acts of war.
Either party may terminate services in writing, subject to any active billing term, service commitment, prepaid term, third-party commitment, or outstanding balances.
Suspension or termination may occur for non-payment, chargebacks, abuse, violation of these terms, provider enforcement actions, legal risk, or misuse of services.
Upon termination, hosting services, CMS access, email management, domain management, technical support, and related services may be discontinued. Clients may request a copy of eligible website files prior to final account closure, provided all balances are paid and no legal, provider, licensing, or operational restriction applies.
These terms shall be governed and interpreted in accordance with the laws of the State of New York, United States.
